Man Wah Holdings has convened its 2026 annual general meeting (AGM) for 3 July 2026 at 3:00 p.m. (24/F, Admiralty Centre I, 18 Harcourt Road, Hong Kong). Key resolutions to be tabled are as follows:
1. FY26 Financial Statements and Dividend • Shareholders will vote on adopting the audited financial statements for the year ended 31 March 2026. • A final dividend of HK$0.09 per share is proposed for the period.
2. Board Composition • Executive directors Mr Wong Man Li and Ms Hui Wai Hing are standing for re-election, with their remuneration subject to board determination. • Mr Chan Hak Kan is nominated for appointment as an independent non-executive director, also with remuneration to be set by the board.
3. Auditor Re-appointment • Ernst & Young is proposed to be re-appointed as the Company’s auditors, with fees to be fixed by the board.
4. Capital Management Mandates • Share Issuance: Directors seek authority to allot and issue shares— including any transfer of treasury shares—up to 20% of the Company’s issued share capital (excluding treasury shares) as at the date of the AGM. • Share Buy-back: A parallel mandate would permit repurchases of up to 10% of issued shares (excluding treasury shares) during the mandate period, in line with Hong Kong Listing Rules. • Mandate Extension: Subject to the above approvals, the repurchased shares may be added to the issuance mandate, raising the effective issuance limit by up to an additional 10% of issued shares.
5. Meeting Logistics • Shareholders may appoint one or more proxies to attend and vote. Proxy forms must reach Computershare Hong Kong Investor Services Limited at 17M Floor, Hopewell Centre, 183 Queen’s Road East, Wanchai, Hong Kong at least 48 hours before the meeting. • The company’s board currently comprises five executive directors and four independent non-executive directors.
The proposed resolutions aim to provide management with flexibility on dividend distribution, board continuity, auditor engagement, and capital allocation ahead of the new financial year.
