GRACEWINE: AGM Resolutions Secure 99.99% Support; New Articles of Association Adopted

Grace Wine Holdings Limited (GRACEWINE) announced that all seven resolutions tabled at its Annual General Meeting (AGM) on 5 June 2026 were approved by poll, each receiving 99.99% of the votes cast.

The poll covered six ordinary resolutions and one special resolution. Approximately 191.98 million shares were voted for each item, versus 1,000–2,000 shares against, comfortably surpassing the 50% threshold for ordinary resolutions and the 75% threshold for the special resolution.

Key ordinary resolutions included: • Receipt and adoption of the 2025 audited financial statements and auditor’s report. • Appointment or re-election of eight directors, comprising four executive, one non-executive and three independent non-executive directors. • Authorisation for the Board to determine directors’ remuneration. • Re-appointment of Ernst & Young as external auditor for the ensuing year. • Renewal of general mandates for share issuance, share repurchases and the extension mandate.

The special resolution approved amendments to the Memorandum and Articles of Association, with the revised Articles becoming effective immediately on 5 June 2026.

No shareholders were required to abstain, and no contrary intentions were indicated prior to the meeting. The company had 813.00 million issued shares eligible to vote. Tricor Investor Services Limited acted as scrutineer for the poll.

Separately, GRACEWINE confirmed the retirement of Dr. Cheung Chai Hong as non-executive director upon the conclusion of the AGM.
