Winshine Science Company Limited (stock code: 00209) has issued a notice convening a special general meeting (SGM) for 10:30 a.m. on 31 March 2026 at Rooms 1101-4, 11/F, Harcourt House, 39 Gloucester Road, Wanchai, Hong Kong.

Key proposals to be put to shareholders are as follows:

1. Company Name Change (Special Resolution) • Conditional on approval by the Registrar of Companies in Bermuda, the board seeks to change the English name from “Winshine Science Company Limited” to “Poly Xverse Intelligent Technology Co. Ltd” and adopt “香港萬維智能科技有限公司” as the secondary Chinese name. • Any director will be authorised to handle all regulatory filings and formalities related to the rebranding.

2. Refresh of Share Option Scheme Mandate Limit (Ordinary Resolution) • Subject to the Hong Kong Stock Exchange’s approval for listing the underlying shares, the mandate limit for the existing Share Option Scheme—originally adopted on 19 November 2024—will be reset to 10% of the company’s issued share capital as at the date of the SGM. • Directors will be empowered to grant options within this refreshed limit and allot shares pursuant to option exercises.

3. Sublimit for Service-Provider Grants (Ordinary Resolution) • Upon approval of the refreshed mandate, a separate 3% cap (of the total shares in issue, excluding treasury shares) will apply specifically to options and awards granted to service providers across all company share schemes.

Shareholders must lodge transfer documents with Tricor Investor Services Limited by 4:30 p.m. on 25 March 2026 to qualify for attendance and voting. All resolutions will be decided by poll.

As of the notice date, the board comprises two executive directors (Chairlady and CEO Wang Jingyu, Yiu Chun Kong), one non-executive director (Lin Shaopeng) and three independent non-executive directors (Wu Yan Yee, Wong Tin Ying Jade, Wu Jiwei).
