China Aoyuan Adds 0.51 Million Shares in July After Partial Convertible Bond Conversion

China Aoyuan Group Limited reported a net issuance of 0.51 million new ordinary shares in July 2026, taking total issued share capital to 4.70 billion shares as at 31 July 2026. The increase stemmed entirely from the conversion of its zero-coupon mandatory convertible bonds due 2028.

Key highlights • Authorised share capital remained unchanged at 100 billion ordinary shares with a par value of HKD 0.01 each, equivalent to HKD 1.00 billion.

• Issued share capital rose to 4,703.08 million shares from 4,702.57 million a month earlier, reflecting a net addition of 513,145 shares. The company held no treasury shares.

• The additional shares were created through the conversion of USD 43.54 million in principal amount of the company’s outstanding zero-coupon mandatory convertible bonds, issued in January 2024. The bonds carry a conversion price of HKD 0.66 per share.

• Post-conversion, USD 76.27 million of the bonds remains outstanding, convertible into up to 905.12 million shares.

• No share options were exercised during the month. The approved option pool still allows issuance of up to 243.16 million shares.

• China Aoyuan confirmed that its public float stayed above the 25% threshold stipulated by the Hong Kong Stock Exchange.

The company’s capital movements in July were routine and driven solely by the scheduled bond conversion, with no changes to authorised capital or treasury share levels.
