WeRide Grants 17.88 Million RSUs to Founders and Employees Under 2026 Share Plan

On 23 September 2026, WeRide Inc. approved the allocation of 17.88 million Restricted Share Units (RSUs) to 160 participants under its 2026 Share Plan, with acceptance by the grantees pending. The grant was made after Hong Kong trading hours and carries a nil purchase price.

Of the total award, 493,434 RSUs were granted to Founder-Chairman-CEO Dr. Tony Xu Han and an identical 493,434 RSUs to Co-Founder-CTO Dr. Yan Li. The remaining 16.89 million RSUs were distributed among 158 employees, including senior management.

Reference prices on the grant date were HK$15.63 per Class A ordinary share on the Hong Kong Stock Exchange and US$5.92 per ADS (equivalent to three Class A shares) on Nasdaq for the preceding trading day.

Vesting for Dr. Han, Dr. Li and senior management is tied to revenue-based performance metrics or a mix of performance and time-based conditions over 36 months. Other employees follow mixed time-based schedules ranging from 23 to 45 months; the first vesting tranche for some employees occurs in under 12 months due to administrative delays in grant timing, as permitted by the plan.

A clawback clause applies if a grantee engages in serious misconduct, fraud, criminal conviction, breach of fiduciary duty or other actions detrimental to the Group’s interests.

The Board, including all independent non-executive directors, approved the awards to Dr. Han and Dr. Li. The size of their individual grants remains below the 0.1% threshold of issued shares in any 12-month period, eliminating the need for separate shareholder approval under Hong Kong Listing Rule 17.04(4).

The company has provided no financial assistance for share purchases. Post-grant, 77.31 million shares remain available for future awards under the overall plan limit, with 10.27 million shares still available under the consultant sub-limit.

WeRide stated that the RSU program aligns the interests of founders, key executives and employees with long-term shareholder value creation and supports retention amid the Group’s ongoing growth strategy.
