ZTO Express repurchases 455,123 ADSs for USD 9.49 million; cumulative 2026 buybacks reach 8.26 million shares

ZTO Express (Cayman) Inc. filed a Next Day Disclosure Return with the Hong Kong Stock Exchange on 11 September 2026, detailing the latest activity under its share-repurchase programme for Class A ordinary shares.

On 10 September 2026 (U.S. time) the logistics group bought back 455,123 American depositary shares—each representing one Class A ordinary share—on the New York Stock Exchange at prices between USD 20.71 and USD 21.10. The aggregate consideration amounted to USD 9.49 million.

The transaction did not alter the share count, leaving issued Class A shares at 557.33 million and total issued capital, including 206.10 million Class B shares, at 763.43 million as of the same date. All repurchased shares remain outstanding pending cancellation.

Since shareholder authorisation was granted on 16 June 2026, ZTO Express has repurchased 8.26 million shares, or 1.08 % of the issued shares at the mandate date. The current mandate permits up to 76.60 million shares to be bought back, implying roughly 68.34 million shares remain available for future repurchase.

Under Main Board Rule 10.06, the company is subject to a moratorium on issuing new shares until 10 October 2026 following the latest buyback.
