GBA Holdings Grants 35.36 Million Award Shares to Employees, Equal to 3.04% of Issued Capital

Guangdong-Hong Kong Greater Bay Area Holdings Limited (GBA Holdings) announced that on 2 April 2026 it granted 35.36 million new shares to selected employee participants under its January 2026 Share Award Scheme. The award represents approximately 3.04% of the company’s issued share capital on the announcement date.

Key terms • Purchase price: Nil. • Reference price: HK$6.10 closing price on 2 April 2026. • Vesting: From 3 April 2026 to 2 April 2029. Although certain tranches begin vesting in less than 12 months, the total vesting period spans over three years, which the Remuneration Committee considers consistent with scheme objectives. • Performance targets: None. The board views the grant as recognition of past contributions and an incentive for future performance. • Clawback: Unvested or vested shares may be clawed back at the board’s discretion in cases including misconduct, breach of laws, or violation of internal policies. • Financing: No financial assistance will be provided to grantees.

Dilution and mandate headroom All award shares will be satisfied through the issue of new shares. After this grant, 75.90 million shares remain available under the overall scheme mandate, and 10.43 million shares remain under the service-provider sub-limit.

Governance No directors, chief executives, substantial shareholders, related-entity participants or service providers are included in the current award. The grant therefore falls within Chapter 17 limits and does not require separate shareholder approval. The Stock Exchange has already approved the listing of shares issuable under the scheme.

Purpose Management stated that the share awards are designed to align employee interests with long-term corporate performance, support talent retention and drive sustainable growth.
