Wise Living Technology Co., Ltd. (2481) disclosed that PricewaterhouseCoopers (PwC) has resigned as auditor of the company effective 28 October 2025, following an inability to reach agreement on the audit fee for the reporting period ending 31 December 2025. According to the statement, PwC’s resignation letter confirmed there are no other matters that need to be brought to the attention of shareholders. The board of directors (the Board) and the audit committee (the Audit Committee) also indicated there are no disagreements or unresolved issues with PwC beyond the fee-related discussion.

The Board announced the intention to propose HLB Hodgson Impey Cheng Limited (“HLB”) as auditor to fill the vacancy until the next annual general meeting, pending shareholder approval at an upcoming extraordinary general meeting (EGM). The Audit Committee cited HLB’s resources, fee quotation, independence, competence, reputation, and familiarity with Hong Kong-listed companies as factors supporting the proposed appointment. The Board believes that the change of auditor will not materially affect preparation of the Group’s financial statements and will enhance cost-effectiveness for shareholders.
