CHOW TAI FOOK shareholders endorse all AGM resolutions; HK$0.45 final dividend approved

Chow Tai Fook Jewellery Group Limited reported that all resolutions tabled at its 22 July 2026 annual general meeting were passed by poll, with the exception of ordinary resolution 3(c), which had been withdrawn earlier.

The adoption of the FY-2026 audited accounts received overwhelming support, with 8.02 billion votes in favour (99.98%) against 1.38 million votes (0.02%) against.

Shareholders approved a final dividend of HK$0.45 per share for the year ended 31 March 2026. The resolution secured 8.02 billion affirmative votes, representing 99.99% of the votes cast.

Director re-elections were affirmed with strong majorities: • Executive directors Dr. Cheng Kar-Shun, Henry and Ms. Cheng Chi-Man, Sonia received 97.83% and 97.89% support, respectively. • Independent non-executive directors Dr. Or Ching-Fai, Raymond; Ms. Fung Wing-Yee, Sabrina; and Ms. Wong Ching-Ying, Belinda secured approval rates of 97.10%, 99.53% and 99.99%, respectively. • The board was authorised to set directors’ remuneration with 99.99% support.

PricewaterhouseCoopers was re-appointed as auditor, backed by 7.73 billion votes (96.45%).

Mandates conferring board authority to issue new shares and to repurchase up to 10% of the company’s issued share capital gained 95.56% and 99.99% approval, respectively.

Voting was based on 9.87 billion shares eligible to vote, with no shareholder required to abstain. Tricor Investor Services Limited acted as scrutineer, and all directors attended the meeting either in person or electronically.
