Goldstone Capital Group Limited has dispatched its circular for the Annual General Meeting (AGM) scheduled for 13 August 2026 in Hong Kong.
Key resolutions to be tabled:
1. Capital Mandates • General Issue Mandate – Directors request authority to allot and issue, or sell/transfer treasury shares, of up to 47.45 million new shares, representing 20% of the 237.27 million shares in issue (excluding treasury shares) as of 14 July 2026. • Repurchase Mandate – Board seeks approval to buy back up to 23.73 million shares, equal to 10% of issued share capital. 3. Auditor Renewal The Board recommends re-appointing Crowe (HK) CPA Limited as auditor for FY 2026/27, with an estimated audit fee of HK$0.27 million–HK$0.31 million, subject to shareholder approval.
Additional Information • All AGM resolutions will be voted on by poll. • Shareholders registered by 6 August 2026 are eligible to attend and vote. • The Board currently has no immediate plan to issue new shares other than those arising from share option or scrip dividend schemes. • The company confirms no share repurchases have occurred in the six months preceding 14 July 2026.
