Anhui Conch Material Technology Co., Ltd. (02560) has announced the renewal of three sets of framework agreements regarding continuing connected transactions. These include the New Conch Cement Cement Admixtures Supply Agreement, the New Conch Cement Concrete Admixtures Framework Agreement (both signed with Anhui Conch Cement Company Limited [00914]), and the New Export Sales and Services Framework Agreement (signed with Anhui Tech Import & Export). All three agreements will be effective from January 1, 2026, to December 31, 2026, replacing the current terms set to expire on December 31, 2025.

Under the New Conch Cement Cement Admixtures Supply Agreement, the total capped transaction amount will not exceed RMB700 million for the supply of specified cement admixtures. The New Conch Cement Concrete Admixtures Framework Agreement carries a cap of RMB160 million, covering the purchase of various products by Conch Cement Group. Meanwhile, the New Export Sales and Services Framework Agreement sets a maximum of RMB90 million for international product sales and related export services via Anhui Tech Import & Export.

According to the announcement, these transactions are structured on an arm’s length basis with pricing mechanisms encompassing tender results, comparative market research, and reference to past transaction terms. The company indicates that continuing to cooperate with Conch Cement Group and Anhui Tech Import & Export supports steady revenue streams, operational efficiency, and strategic expansion into overseas markets.

In compliance with listing rules, the transactions require approval from independent shareholders. An extraordinary general meeting (EGM) will be convened for that purpose, and a circular detailing the agreements, annual caps, and independent advice from Gram Capital Limited will be dispatched to shareholders on or before December 12, 2025.
