Meitu Proposes HK$0.05 Final Dividend, Renews Share Mandates and Seeks Articles Update Ahead of 2026 AGM

Meitu, Inc. (MEITU) has issued a circular convening its annual general meeting (AGM) for 5 June 2026 in Hong Kong. Key items for shareholder approval are as follows:

• Final dividend: The board recommends a cash dividend of HK$0.05 per share, to be paid out of the HK$7.12 billion share-premium account. Based on 4.56 billion outstanding shares (excluding 30.56 million treasury shares), the payout totals about HK$227.80 million (RMB199.70 million). Record date is 15 June 2026; payment is targeted for 26 June 2026.

• Board and auditor: Non-executive directors Mr Chen Jiarong and Mr Hong Yupeng stand for re-election. PricewaterhouseCoopers is nominated for re-appointment as external auditor, with an expected audit fee of RMB5.00-6.50 million.

• Share Issue Mandate: Directors seek authority to allot and issue up to 20% of issued share capital (approximately 911.12 million shares) and to extend this limit by the number of shares repurchased.

• Share Buy-back Mandate: Management requests approval to repurchase up to 10% of issued shares (about 455.56 million shares). The board notes an existing on-market buy-back programme of up to HK$300 million announced on 27 March 2026.

• Articles amendments: Resolutions propose updating the Articles of Association to: – Incorporate provisions for treasury shares. – Simplify dividend payments, removing the need for shareholder approval when distributing from the share-premium account. – Align with Hong Kong’s upcoming uncertificated securities (USM) regime, enabling electronic communications, e-voting, and paperless processes. – Implement minor housekeeping changes and clarify provisions. Adoption of a fourth amended and restated Articles of Association is sought to consolidate these changes.

• Share capital snapshot: As of 20 April 2026, Meitu had 4.59 billion issued shares, including 30.56 million held as treasury shares.

• Timetable: The register of members closes 2–5 June 2026 for AGM attendance and 11–15 June 2026 for the dividend. Proxy forms must be lodged 48 hours before the AGM.

The board recommends shareholders vote in favour of all resolutions, citing sufficient cash resources and no anticipated adverse impact on the group’s financial position.
