Bank of Qingdao nominates Zhang Shixing as independent director; revises board committee composition

On 26 March 2026, Bank of Qingdao Co., Ltd. announced a reshuffle of its board structure following the withdrawal of Mr. Wang Zhuquan as an independent non-executive director (INED) candidate. Mr. Wang stepped down on 25 March 2026, citing work commitments and confirming no disagreements with the board.

The board has nominated Mr. Zhang Shixing, born February 1961 and a former accounting professor at Ocean University of China, to replace Mr. Wang as an INED candidate for the ninth session of the board. Mr. Zhang’s appointment is subject to shareholder approval and subsequent qualification clearance from the Qingdao Bureau of the National Financial Regulatory Administration. If approved, his term will run to the end of the current board’s tenure. During his service, he will receive an annual allowance of RMB0.12 million plus a meeting fee of RMB5,000.

In tandem with the director change, committee assignments were updated: 1. Effective 26 March 2026, Ms. Chen Shuang joins the Nomination Committee, while Mr. Wu Xianming departs from this committee. 2. Upon regulatory approval of Mr. Zhang’s qualification, he will assume the following roles: • Chairman, Audit Committee • Member, Remuneration Committee • Member, Nomination Committee • Member, Related Party Transactions Control Committee

All other committee compositions of the ninth board session remain unchanged. The bank will circulate a shareholder meeting notice and related materials in due course, in line with Hong Kong Stock Exchange listing requirements and the bank’s articles of association.
