Food Empire revises share options and awards after bonus issue

Food Empire Holdings Limited said on Jun, 09 2026 that it has adjusted both its outstanding employee share options and unvested performance share awards following the allotment of bonus shares made on the same day.

Under the Employee Share Option Scheme, the number of outstanding options rose by 1.639 million to reflect the enlarged share capital, while exercise prices were reduced proportionally. For example, options granted on May, 23 2017 increased to 450,000 from 375,000 and now carry an exercise price of 0.578 Singapore dollars per share, down from 0.693 Singapore dollars. Grants dated Jun, 02 2025 rose to 1.80 million options from 1.50 million, and their exercise price was cut to 1.462 Singapore dollars from 1.754 Singapore dollars.

Board directors also saw corresponding revisions. Executive Chairman Ong Kian Min’s aggregate outstanding options increased to 234,000 from 195,000, while independent director Saw Meng Tee’s rose to 174,000 from 145,000. Similar pro-rata adjustments were applied to directors Tan Cher Liang and Adrian Chan Pengee.

Separately, unvested awards under the Performance Share Plan increased by 363,931 shares. Awards granted on Jan, 02 2024 grew to 772,669 from 643,894, and those granted on Jan, 02 2025 rose to 954,680 from 795,569. Chief Executive Officer Sudeep Nair’s total unvested awards climbed to 1.107 million from 922,376 after the adjustments.

Food Empire confirmed that aside from the revised quantities and exercise prices, all other terms of its Employee Share Option Scheme and Performance Share Plan remain unchanged.
