China Merchants Port shareholders approve all AGM resolutions; HK$0.489 final dividend cleared

China Merchants Port Holdings Company Limited held its Annual General Meeting on 2 June 2026, with every agenda item securing the requisite majority in a poll vote.

Dividend confirmation • Shareholders endorsed the audited financial statements for the year ended 31 December 2025 and approved a final dividend of HK$0.489 per share.

Board composition and remuneration • Executive directors Mr Xu Song and Mr Huang Qiang Zhong, and independent non-executive directors Mr Chan Hiu Fung Nicholas and Ms Wong Pui Wah were re-elected, each receiving at least 97.85% of votes in favour. • The board was authorised to set directors’ remuneration, passing with 99.97% support.

Auditor re-appointment • KPMG was re-appointed as external auditor, with 100% approval (3.55 billion votes for, 0.14 million votes against).

Capital mandates • A general mandate to allot new shares passed with 88.32% approval. • The share buy-back mandate received 99.98% support. • The extension of the allotment mandate by the number of repurchased shares was backed by 88.50% of votes.

Voting turnout • 4.20 billion shares were eligible to vote; approximately 3.55 billion votes were cast on each resolution, implying participation of about 84.6%. No shares were required to abstain, and Computershare Hong Kong Investor Services acted as scrutineer.

All resolutions were therefore adopted as ordinary resolutions, solidifying shareholder backing for the company’s 2025 dividend, board composition, auditor selection and capital management flexibility.
