The board of Lung Fung Group Holdings Limited has issued a notice convening its 2026 Annual General Meeting (AGM) for 09:30 a.m. on Wednesday, 16 September 2026, at 24/F, Admiralty Centre I, 18 Harcourt Road, Hong Kong.

Key matters to be put to shareholder vote:

1. Financial Statements • Adoption of the audited consolidated financial statements and the reports of the directors and independent auditor for the year ended 31 March 2026.

2. Board Composition • Re-election of two executive directors—Mr Tse Siu Hoi and Ms Tse Chui Ying. • Re-election of three independent non-executive directors—Mr Chu Woon Ming, Mr Yau Sheung Yu and Ms Woo Pui Yan Joyce.

3. Director and Auditor Remuneration • Authorisation for the board to set directors’ remuneration for the financial year ending 31 March 2027. • Re-appointment of Deloitte Touche Tohmatsu as independent auditor for FY2027, with the board authorised to determine its fee.

4. General Mandates • Share Issuance: Authority for the board to allot, issue or deal with additional shares up to 20% of the company’s issued share capital (excluding any treasury shares) during the mandate period. • Share Repurchase: Authority to repurchase shares on recognised exchanges up to 10% of issued share capital. • Extension: Conditional extension of the issuance mandate by the number of shares repurchased under the repurchase mandate.

Administrative Details • Register of members closure: Friday, 11 September 2026 to Wednesday, 16 September 2026 (both days inclusive). • Record date for AGM attendance and voting: 16 September 2026. • Share transfer deadline: 4:30 p.m. on Thursday, 10 September 2026. • Proxy forms must be lodged with Tricor Investor Services Limited at least 48 hours before the meeting.
