On January 27, 2026, the company entered into a Memorandum of Understanding (MOU) with Nanyang Technological University (acting through its Cyber Security Research Centre). Pursuant to the MOU, the company (acting through its wholly-owned subsidiary, Orbiva Limited) intends to engage in discussions with the University concerning AIoT-enabled healthcare solutions and explore potential avenues for cooperation and collaboration. This exploration may involve the initial planning and establishment of a personal healthcare AIoT platform, security for health management ecosystems, and the licensing and transfer of related intellectual property. Any specific and definitive collaborative arrangements under the MOU will be agreed upon by the company and the University through further negotiations, with formal cooperation agreements to be signed separately at an appropriate time, subject to applicable laws, regulations, and the respective internal approval processes of the contracting parties. Nanyang Technological University is a research-intensive public university in Singapore, hosting approximately 35,000 undergraduate and postgraduate students across various disciplines. The Cyber Security Research Centre is one of the University's leading research centers, collaborating with local and global institutions and industry partners to develop capabilities in several strategic focus areas, including IoT, AIoT, and secure healthcare devices and systems. As part of the preparatory work for this potential collaboration, Orbiva recently entered into an Intellectual Property License Agreement with NTUitive Pte Ltd, a wholly-owned subsidiary and innovation enterprise company of the University. Under this agreement, NTUitive granted Orbiva a license to use specific inventions and related licensed proprietary materials concerning an AI-assisted, trustworthy smart agent system for home care, along with the rights to develop, utilize, and further develop related systems, platforms, solutions, and services in the fields of home care, healthcare, IoT, and AIoT, as well as any other ancillary applications. Building on this initial cooperation, and to further leverage the respective strengths, resources, and expertise of the Group and the University, the company has entered into the MOU to explore broader strategic collaboration, including, but not limited to, the joint development of secure healthcare AIoT platforms and the creation of new business opportunities.
