IMS Group Updates Board Structure: Dr. Wilson Lee to Step Down, Mr. Lo King Shun Returns as Independent Director and Remuneration Chair

IMS Group Holdings Limited (IMS Group, 08136) announced a planned reshuffle of its board of directors, effective 1 September 2026.

Dr. Wilson Lee will resign as Independent Non-Executive Director (INED) after more than eight years of service, enabling the company to remain compliant with GEM Listing Rules that discourage independent directorships exceeding nine years. Concurrently, he will relinquish his roles as Chairman of the Remuneration Committee and member of both the Nomination and Audit Committees. Dr. Lee confirmed no outstanding claims against the company and reported no disagreements with the board.

Succeeding Dr. Lee, the board has appointed former executive director Mr. Lo King Shun as INED, effective the same day. Mr. Lo, aged 64, brings over 16 years of project-management experience within the Group’s lighting and audiovisual businesses. His prior roles include Senior Manager positions at IMS Group subsidiaries and a tenure as Executive Director from January 2020 to July 2024. Under his new three-year term, he will serve as: • Chairman, Remuneration Committee • Member, Nomination Committee • Member, Audit Committee

Mr. Lo will receive an annual director’s fee of HK$0.18 million, a level the board states reflects his responsibilities and market benchmarks. The company affirmed Mr. Lo’s independence per Rule 5.09 of the GEM Listing Rules, noting zero shareholding in IMS Group and no ties to major shareholders, directors, or connected persons.

Post-change, IMS Group’s board will comprise two executive directors—Mr. Tam Yat Ming Andrew (Chairman and CEO) and Ms. Fok Yee Man—alongside three INEDs: Mr. Li Chun Hung, Mr. Ha Yiu Wing and Mr. Lo King Shun. The board expressed appreciation for Dr. Lee’s contributions and welcomed Mr. Lo’s return in an independent capacity.

These moves conclude IMS Group’s phased compliance with Hong Kong’s corporate governance guidelines on INED tenure while strengthening oversight through refreshed committee leadership.
