Datang Power Teams with Jiangsu Guoxin and Ordos New Energy to Launch RMB10.00 Billion Joint Venture for 14.64 GW Inner Mongolia–Jiangsu Transmission Project

Hong Kong, 28 April 2026—Datang International Power Generation Co., Ltd. (Datang Power) signed a capital-contribution agreement with Jiangsu Guoxin Investment Group and Ordos New Energy to create Datang (Ordos) Energy Development Co., Ltd., a project vehicle for the Inner Mongolia to Jiangsu Power Transmission Project.

Registered Capital and Shareholding • Total registered capital: RMB10.00 billion. • Datang Power: RMB5.10 billion (51%). • Jiangsu Guoxin Group: RMB3.40 billion (34%). • Ordos New Energy: RMB1.50 billion (15%).

Funding Timetable • Initial paid-in capital of RMB100 million, due by 31 August 2026, will be injected pro rata. • Remaining contributions up to RMB10.00 billion must be completed by the earlier of (i) five years after establishment or (ii) the project’s commissioning. • If 20% of the estimated project investment exceeds the registered capital, the partners will raise additional equity; financing gaps beyond equity will be arranged by the joint venture.

Project Overview • Capacity: 14.64 GW (4 GW wind, 8 GW photovoltaic, 2.64 GW coal) plus 2.04 GW / 8.16 GWh energy-storage system. • Transmission: ±800 kV direct-current line, 8 GW rating, ~1,886 km from Hangjin Banner (Inner Mongolia) to Jiangning (Jiangsu), traversing five provinces. • Total static investment: RMB58.10 billion. • Use of JV equity: RMB2.80 billion for wind, RMB5.40 billion for solar, RMB1.80 billion for coal; storage costs embedded in wind/solar budgets. • Initial funds will cover feasibility studies, specialised reports and preliminary project management.

Strategic Rationale The large-scale desert energy base aligns with national dual-carbon objectives, harnessing Inner Mongolia’s renewable and coal resources to support Jiangsu’s power demand. For Datang Power, majority control of the JV strengthens its regional foothold, advances its new-energy capacity build-out and may facilitate future project development rights in Inner Mongolia.

Governance and Covenants Datang Power retains 51% voting control. Should control be transferred outside the Datang group, the JV must cease using “Datang” brand assets. Defaulting parties are liable for resultant losses.

Compliance Status The investment qualifies as a discloseable transaction under Hong Kong Listing Rule 14.07 (percentage ratio >5% but <25%). The board approved the deal, with no director abstentions, and the counterparties are confirmed as independent third parties.

Counterparty Profiles • Jiangsu Guoxin Group: Jiangsu provincial state-owned capital investment and management entity established in 2001. • Ordos New Energy: Ordos SASAC-controlled enterprise focused on wind, solar, biomass, hydrogen and other energy projects, restructured in 2020.

The Capital Contribution Agreement becomes effective upon execution and corporate sealing by all parties and remains subject to customary regulatory approvals.
