CQRC Bank’s board has approved the nomination of Ms. Cao Shinan and Ms. Gao Yang as independent non-executive director (INED) candidates. The appointments remain subject to (1) shareholder approval and (2) qualification clearance from the National Financial Regulatory Administration Chongqing Office.
Candidate profiles • Cao Shinan, 43, holds a post-doctoral qualification in finance (Renmin University of China) and a PhD in system theory (Beijing Normal University). She is professor and doctoral supervisor at the China School of Banking and Finance, University of International Business and Economics, and currently serves as an independent director of Founder Securities.
• Gao Yang, 45, is a permanent Hong Kong resident with a doctorate in law (Washington University in St. Louis). She is admitted as an attorney in New York and a Hong Kong solicitor, and is founding partner of the Hong Kong office of Merits & Tree Law Offices.
Key remuneration terms Each INED will receive RMB0.18 million per year, prorated by months served and linked to annual performance appraisal under the bank’s existing remuneration and evaluation frameworks.
Independence and compliance Both nominees confirmed compliance with Hong Kong Listing Rule 3.13, hold no interests in CQRC Bank shares, and have no relationships with the bank’s directors, senior management, or substantial shareholders. No additional disclosures are required under Listing Rule 13.51(2)(h)–(v).
