China Rongzhong Financial Holdings Company Limited (Stock Code: 03963) announced the voting results of its Extraordinary General Meeting (EGM) held on 30 October 2025. According to the poll, the resolution concerning the Subscription Agreement dated 3 September 2025 between the company (as issuer) and Goldbond Group Holdings Limited (as subscriber), involving a convertible bond (CB) of HK$35,000,000, was approved by a majority vote of 51,207,600 in favor and 110 against.

The approved resolution covers the execution of the Subscription Agreement, issuance of the CB, and the allotment and issuance of Conversion Shares under a specific mandate. As disclosed, the subscriber and its associates, holding a combined 31.23% and 23.70% stake respectively, abstained from voting on the resolution in line with relevant listing rules.

As of the date of the EGM, the total number of shares in issue stood at 606,802,571. Tricor Investor Services Limited was appointed as the scrutineer for the vote. All directors attended the EGM in person or by electronic means, and the resolution was duly passed as an ordinary resolution.
