Pioneer Global Group Limited (the “Company”) disclosed in its announcement dated 30 October 2025 that CHENG & CHENG LIMITED resigned as auditor on the date of the annual general meeting. The resignation followed the inability to reach an agreement regarding a substantial increase in the proposed audit fee, despite no material change in the Company’s business.

In response, the board of directors, with the recommendation of the audit committee, proposes appointing Baker Tilly Hong Kong Limited (“Baker Tilly”) to serve as the new auditor for the financial year ending 31 March 2026, subject to shareholders’ approval at an extraordinary general meeting. The audit committee assessed Baker Tilly’s credentials, including its proposed audit fees, industry experience, and independence, and concluded that it is suitable to act as auditor.

A circular detailing the proposed appointment will be made available to shareholders in due course. Baker Tilly’s appointment would continue until the conclusion of the next annual general meeting in 2026.
