ST HLDGS (08305) announced that all conditions precedent under the capitalization agreement have been fulfilled. The completion was executed on November 27, 2025, in accordance with the terms of the agreement.

A total of 110 million capitalization shares were allotted and issued to Mr. Xiang Congxin, a company director, at HK$0.285 per share. These shares represent approximately 6.78% of the company's enlarged issued share capital post-allotment.

The subscription amount of HK$31.35 million will be offset on a one-to-one basis against equivalent outstanding receivables. As a result, no proceeds will be generated from the debt capitalization.
