LHN (01730) has announced that its wholly-owned subsidiary WPS (TPY) Pte. Ltd. (WPSTPY) has entered into a joint venture agreement dated October 22, 2025, with Macritchie Developments Pte. Ltd. (MAC), KSH Blazar Pte. Ltd. (KSHB), CP-Tagore Pte. Ltd. (CP), Soon Hock Fortune Pte. Ltd. (SHF), Petrus Capital Holdings Pte. Ltd. (PCH), Tay Lian Xie Tarol (TAY), and Chin Hong Oon (CHO), collectively referred to as the "Joint Venture Shareholders," along with Thomson Gem Pte. Ltd. (the "Joint Venture Company"). The agreement involves the Joint Venture Company issuing new shares, which the Joint Venture Shareholders will subscribe to (the "Joint Venture Matters"). Besides MAC, which is an existing partner of the group, KSHB, CP, SHF, PCH, TAY, and CHO are all independent third parties. The Joint Venture Company has successfully won the collective acquisition project for the property located at 680 Upper Thomson Road, Singapore 787103 (the "Property"). Once the property acquisition is completed and all necessary approvals from relevant authorities are obtained, the Joint Venture Company will proceed with the redevelopment of the Property. This joint venture will enable the group to expand its property development business. Through this joint venture structure, the group can effectively diversify development risks and leverage the complementary resources, expertise, and experience of the other Joint Venture Shareholders, enhancing project execution efficiency and long-term returns.
