Beisen Holding issues 40,000 shares under option plan and buys back 100,000 shares worth HKD 0.33 million

On 22 July 2026, Beisen Holding Limited disclosed simultaneous movements in its share capital following a routine Next Day Disclosure Return filed with the Hong Kong Stock Exchange.

The company issued 40,000 ordinary shares pursuant to its Pre-IPO Share Option Plan adopted on 15 July 2019. The new shares represent 0.0055% of Beisen’s pre-event issued share base of 726.83 million shares (excluding treasury shares) and were allotted at HKD 0.00008 per share.

On the same trading day, Beisen repurchased 100,000 ordinary shares on-market at prices ranging between HKD 3.21 and HKD 3.30, for a volume-weighted average cost of HKD 3.28 per share. The aggregate consideration was approximately HKD 0.33 million. All repurchased shares were retained as treasury stock, lifting the treasury balance to 10.19 million shares.

After accounting for the new issue and the buyback, Beisen’s issued share count (excluding treasury shares) decreased slightly to 726.77 million, while total issued shares—including treasury stock—rose marginally to 736.96 million.

The 22 July repurchase falls under the mandate approved on 18 September 2025, which authorises the company to buy back up to 70.12 million shares. Cumulative purchases under this mandate now stand at 14.96 million shares, or 2.13% of the share capital outstanding on the date the mandate was granted. Under Hong Kong listing rules, Beisen is restricted from issuing new shares or disposing of treasury shares until 21 August 2026, 30 days after the latest buyback.
