ContiOcean restores public float to 26.48% after director resignation and H-share conversion

ContiOcean Environment Tech Group Co., Ltd. (ContiOcean) reported that its public float has risen to 26.48 % of total issued share capital, surpassing the Hong Kong Stock Exchange’s minimum 25 % requirement under Listing Rule 19A.28B(1)(a).

The increase follows two recent events:

1) The resignation of executive director and chief financial officer Mr. Shu on 1 June 2026, which ended his status as a core connected person; and 2) The completion on 9 June 2026 of the company’s H-Share Full Circulation programme, converting 30.00 million domestic shares into H shares. The 1.50 million converted H shares held by Mr. Shu are now counted within the public float.

Post-conversion, ContiOcean’s share capital comprises 40.00 million H shares. Of these, 10.59 million shares are held by public investors, while 29.41 million shares (73.53 %) remain in the hands of parties classified as non-public. The largest non-public stakes are controlled by Chairman Zhou Yang and concert-party partners Zhao Mingzhu and Chen Zhiyuan, whose combined direct, indirect and joint holdings total 16.48 million, 18.11 million and 18.11 million shares respectively.

Institutional investors within the public float include Harvest International Capital Management (2.09 million shares), Matrix Income SPC — Matrix Income SP (1.17 million shares), INVINCIBLE INVESTMENT SPC-INVINCIBLE STABLE GROWTH SP (0.87 million shares) and Capital Melody Investments LPF (0.73 million shares). Other minority shareholders collectively own 4.22 million shares.

ContiOcean confirms compliance with HKEX public-float requirements and advises shareholders and potential investors to exercise caution when dealing in its securities.
