China Science and Education Industry Group Limited (the Company) announced that Mr. Cheung Kai Cheong Willie resigned as company secretary, authorised representative, and process agent with effect from November 24, 2025. According to the announcement, Mr. Cheung confirmed no disagreements with the Board and no other matters that require attention. The Company expressed appreciation for his contributions.

Mr. Lin Zhixiang and Ms. Ma Wing Yee have been named joint company secretaries, with Ms. Ma also appointed as the authorised representative and process agent, effective November 24, 2025. Mr. Lin was previously a vice president of the Company and held various roles in financial and property-related businesses, while Ms. Ma is an assistant manager of a corporate services firm and an associate member of professional governance institutes.

The Company indicated that Mr. Lin is expected to fulfill joint company secretary duties given his operational knowledge, supplemented by Ms. Ma’s compliance expertise. However, as Mr. Lin does not meet the stated academic or professional qualifications under the Listing Rules, Ms. Ma will assist him during the transition period.

The Stock Exchange granted a waiver from strict compliance with Rules 3.28 and 8.17 of the Listing Rules until November 23, 2028, on the conditions that Mr. Lin is supported by Ms. Ma and there are no material Listing Rule breaches. Before the waiver period concludes, the Company must demonstrate that Mr. Lin has gained sufficient experience to discharge company secretary responsibilities without further exemption.
