Tencent boosts share capital by 55,156 shares; spends HKD 300.61 million on latest buyback

Tencent Holdings Limited disclosed a dual move in its 31 March 2026 Next Day Disclosure Return, combining a minor share issuance with another sizeable buyback under its ongoing repurchase programme.

Tencent issued 55,156 new ordinary shares upon exercise of options granted under the 2023 Share Option Scheme adopted on 17 May 2023. The weighted-average issue price was HKD 310.99 per share, adding approximately HKD 17.17 million in new capital and increasing the company’s outstanding shares by a negligible 0.0006 %—from 9,123,808,123 to 9,123,863,279.

On the same date, Tencent repurchased 621,000 shares on the Hong Kong Stock Exchange at prices between HKD 480.20 and HKD 490.40, for a total consideration of HKD 300.61 million. These shares are earmarked for cancellation. Including earlier transactions on 26, 27 and 30 March, the company now holds 2.45 million repurchased shares pending cancellation.

The repurchases form part of the mandate approved on 14 May 2025, which authorises buybacks of up to 918.90 million shares. Cumulative repurchases under this authority have reached 114.65 million shares, equivalent to 1.25 % of Tencent’s issued share capital on the mandate date. Following the latest buyback, the company is subject to a moratorium on new share issues or treasury share sales until 30 April 2026, in accordance with Hong Kong listing rules.
