China Construction Bank Corporation (CCB) disclosed that its 2025 Annual Shareholders’ Meeting, held on 26 June 2026 in Beijing and Hong Kong, endorsed every item on the agenda with overwhelming support.

Key Meeting Statistics • Voting shares represented: 219.30 billion, accounting for 83.83 % of total share capital (261.60 billion). • Total attending shareholders and proxies: 1,037, comprising 1,008 A-share and 29 H-share holders.

Major Resolutions 1. Operating and Financial Reports: The 2025 Board Report and Final Financial Accounts each received more than 99.77 % votes in favour. 2. Profit Distribution: Shareholders backed the 2025 dividend plan with 99.99 % support. 3. 2026 Fixed-Asset Budget and Auditor Appointment: Approved with ≥99.98 % affirmative votes. 4. Financial Bonds: A special resolution authorising the 2026 financial-bond issuance secured 99.99 % approval, well above the two-thirds threshold.

Dividend Details • Final cash dividend: RMB 2.029 per 10 shares (tax inclusive) for H shares. • Ex-dividend date: 2 July 2026; Record date: 10 July 2026; Payment date: 21 August 2026. • Currency option: H-share investors may elect RMB or HKD; election window closes 28 July 2026. • Statutory withholding: 10 % corporate income tax for non-resident enterprises; individual tax per PRC regulations.

Board Composition Changes • Ji Zhihong re-elected as Executive Director (three-year term effective immediately). • Cao Liqun elected Non-executive Director; term effective immediately. • Tang Wei elected Non-executive Director; term commences upon National Financial Regulatory Administration approval. • Independent Directors: Lord Sassoon re-elected; Yang Qiang elected—both for three-year terms, Yang’s subject to regulatory confirmation. • Liu Fang retired as Non-executive Director at term expiry.
