Wai Kee Holdings Limited (Stock Code: 610) announced an update on the formation of the Vibro-Titan Joint Venture (Vibro-Titan JV) and a related subcontracting arrangement. Independent Shareholders approved the JV at a Special General Meeting on 24th October, 2024. The JV involves partial ELS Works previously intended for Titan, a wholly-owned subsidiary of Build King.

Under a supplemental agreement, Titan and Vibro Construction agreed that certain structural steel works and port works, originally covered by the Titan Sub-Contract, will now be undertaken directly by Build King Civil Engineering Limited and Build King (Zens) Engineering Limited (collectively “Alternative Sub-Contractors”), both wholly owned by Build King. These works will be performed under direct sub-contracts with Vibro HK, replacing the equivalent contract value of approximately HK$397.4 million (before variations) under the JV Sub-Contract and Titan Sub-Contract.

The material terms of the sub-contract arrangements, including contract sum and scope of work, remain in line with the original agreement. Since the changes simply replace Titan with the Alternative Sub-Contractors, no additional shareholders’ approval under the Listing Rules is required. Other core terms of the JV Agreement, the JV Sub-Contract, and the Titan Sub-Contract remain unchanged, preserving the overall business and economic arrangement.

The announcement was issued on 23rd January, 2026. As of that date, the Board of Wai Kee Holdings Limited comprises three executive directors (Derek Zen Wei Peu, Anriena Chiu Wai Yee, and Hayley Zen Chung Hei) and four independent non-executive directors (Steve Wong Che Ming, Samuel Wan Siu Kau, Francis Wong Man Chung, and Tsang Wing Yee).
