Maxnerva Technology Services Limited (Maxnerva) and its prospective offeror, Foxconn (Far East) Limited (Foxconn Far East), have jointly announced a postponement in dispatching their composite offer document related to the possible mandatory conditional cash offers for all issued shares and outstanding options of Maxnerva not already held by Foxconn Far East and its concert parties.

Originally required under Rule 8.2 of the Hong Kong Takeovers Code to be issued by 17 August 2026—21 days after the Rule 3.5 announcement dated 27 July 2026—the composite document’s release now awaits satisfaction of conditions tied to the underlying share purchase agreement (SPA). The critical outstanding condition is approval of the requisite antitrust filing in Vietnam, which is non-waivable.

Given the additional time needed both to secure antitrust clearance and to finalize required disclosures, Foxconn Far East and Maxnerva sought, and received, consent from the Securities and Futures Commission’s Executive to extend the dispatch deadline. The composite document must now be issued by the earlier of:

1. Seven days following completion of the SPA; or 2. 15 January 2027—seven days after the envisaged SPA completion date of 8 January 2027, itself five business days after the long-stop date of 31 December 2026 (assuming the Vietnam antitrust condition is fulfilled by then).

The companies emphasized that the SPA completion, and consequently the launch of the offers, remain contingent on the fulfillment or waiver of all SPA conditions. Shareholders, optionholders, and potential investors were cautioned that the offers may or may not proceed and were advised to exercise prudence in dealing with Maxnerva securities.
