June Glory International Limited and Minmetals Land Limited (Stock Code: 230) jointly announced that a scheme of arrangement (the “Scheme”) for the privatization of Minmetals Land Limited was approved at a Court Meeting on 9 February 2026. The Scheme was also endorsed by shareholders at a Special General Meeting (SGM) on the same day. Under the approved arrangement, the issued share capital of Minmetals Land Limited will be reduced, with the cancelled shares replaced by an equal number of new fully paid shares allotted to the offeror, June Glory International Limited.

The last day for trading in Minmetals Land Limited’s shares is expected to be 10 February 2026. To qualify for entitlements under the Scheme, shareholders must register any share transfers before 4:30 p.m. on 26 February 2026. The register of members will be closed from 27 February 2026 onward, and no share transfers will be processed during that period. Subject to satisfaction or waiver of remaining conditions, the Scheme is expected to become effective on 27 February 2026 (Bermuda time).

Following the effective date, Minmetals Land Limited plans to withdraw its listing on The Stock Exchange of Hong Kong Limited at 4:00 p.m. on 3 March 2026. Payment of the cancellation price to shareholders is scheduled to be completed on or before 10 March 2026. The companies emphasized that the overall timetable remains subject to the fulfillment or waiver of all conditions outlined in the scheme document.
