CGS Announces Independent Director Transition: Stephen Law Resigns, Robert Lee Nominated

China Galaxy Securities Co., Ltd. (CGS) has disclosed a forthcoming change to its board composition.

Stephen Law Cheuk-kin has tendered his resignation as Independent Non-Executive Director (INED) as well as member of both the Audit Committee and the Nomination and Remuneration Committee. His departure, prompted by the six-year maximum tenure stipulated under Chinese regulatory guidelines for INEDs, will take effect upon the election of a successor at the next shareholders’ general meeting. Until then, Law will continue to discharge his duties to ensure board continuity.

To fill the impending vacancy and restore the legally required ratio of independent directors (minimum one-third of the board), the board on 29 June 2026 approved the nomination of Robert Lee Wai-wang as an INED candidate. Shareholders will vote on his appointment at the upcoming general meeting.

Lee, born in June 1980, holds a Master’s degree in Organisational Dynamics from the University of Pennsylvania and a Bachelor’s degree in Economics from Bard College. His current roles include: • Senior Vice President, Executive Director and Chairman of Grand Finance Group (since August 2007) • Executive Director, Securities Division of Xin Yongan International Financial Holdings (since October 2023) • Director, Xin Yongan International Securities (since January 2024) • INED, Value Partners Group (since March 2025)

Lee’s public service record spans appointments to the Hong Kong SAR Legislative Council (Financial Services Functional Constituency), the Process Review Panel for the Securities and Futures Commission, and various market development task forces. He has confirmed compliance with Hong Kong Listing Rules’ independence criteria and holds no CGS shares under Part XV of the Securities and Futures Ordinance.

Upon shareholder approval, Lee will serve until the end of the fifth board’s term and be eligible for re-election. CGS will remunerate INEDs at RMB0.15 million per annum, with additional subsidies of RMB0.05 million for committee chair roles and RMB0.03 million for committee memberships, subject to prevailing national policies.

The board expressed gratitude to Stephen Law for his near six-year contribution to CGS’ governance and development.
