TRULY INT'L (00732) announced on October 22, 2025, that its board of directors has resolved to submit a tender to acquire approximately 11.43% of the equity in TRULY Renshou, currently held by Renshou Investment, through public bidding at the property trading center. The company recommends that TRULY Optoelectronics bids a total price not exceeding RMB 1.05 billion. As of the date of this announcement, TRULY Renshou is approximately 29.69% owned by TRULY Optoelectronics, about 64.29% by Renshou Investment, and around 6.02% by Renshou Jiaan No.1 Limited Partnership, all of which are independent third parties of the group. The announcement states that Renshou Investment's transfer of the target company's equity will occur through two independent public tenders. Regardless of whether the first tender is successful, the company suggests that TRULY Optoelectronics should submit a second bid to acquire an additional approximately 5.714% stake in the target company. If both tenders are successful, TRULY Optoelectronics will end up acquiring a total of approximately 11.43% of the target company's equity, corresponding to RMB 800 million (approximately HKD 876 million) of TRULY Renshou's registered capital. Since TRULY Renshou's establishment, the company's performance has been steadily improving, leading to a gradual increase in TRULY Optoelectronics' shareholding. Given that the state-owned Renshou Investment intends to exit part of its investment in TRULY Renshou through public bidding, the company sees this as an excellent opportunity for the group to further increase its stake in TRULY Renshou.
