DETAI NEWENERGY signs HK$505.00 million MoU for full acquisition of Macau 4-star hotel; share trading remains suspended

DeTai New Energy Group Limited (DETAI NEWENERGY) disclosed that on 21 August 2026 it entered into a non-binding memorandum of understanding (MoU) with an independent vendor to acquire 100% equity (the “Sale Share”) and shareholder loan (the “Sale Loan”) of a British Virgin Islands–incorporated target company that owns a 4-star, 441-room hotel in Macau.

Transaction framework • Consideration: up to HK$505.00 million, to be settled by a maximum of HK$255.00 million in cash and the balance via a promissory note. • Price adjustment: final consideration to be aligned with the target’s consolidated net asset value at completion, after any pre-completion dividends. • Exclusivity: the vendor grants DETAI NEWENERGY exclusive negotiating rights until 30 calendar days after the MoU date (the “Long Stop Date”). • Conditions precedent: execution of a definitive sale and purchase agreement (SPA) by the Long Stop Date, and approval by DETAI NEWENERGY shareholders at a general meeting. Completion of the Sale Share and Sale Loan must occur simultaneously.

Strategic rationale Management expects the proposed acquisition to add a year-round urban hospitality platform in Macau, complementing the group’s existing hotel operations in Niseko, Japan. Anticipated benefits include revenue diversification, cross-promotional opportunities and operational synergies. The Macau hotel has been operating since 1997 and completed a full renovation in 2005.

Regulatory and timing outlook The proposed deal, if concluded, will constitute a notifiable transaction under Hong Kong Listing Rules, requiring further disclosure. The MoU is non-binding except for provisions on exclusivity, confidentiality, termination and governing law. Failure to sign the SPA by the Long Stop Date, or mutual termination, will automatically lapse the MoU.

Trading status Shares of DETAI NEWENERGY have been suspended since 13 April 2026 and will remain so until further notice. The company advises shareholders and potential investors to exercise caution when dealing in its securities.
