CSC Shareholders Back New Non-Executive Director and Debt-Issuance Mandate at 2026 First EGM

CSC Financial Co., Ltd. (CSC) secured strong shareholder support at its 2026 First Extraordinary General Meeting (EGM) on 31 March 2026 in Beijing, passing both proposed resolutions by overwhelming majorities.

• Attendance and Voting Power A total of 899 shareholders and proxies, representing 5.68 billion shares or 73.18% of CSC’s 7.76 billion issued shares, participated in the poll.

• Board Changes 1) Election of Non-Executive Director – Mr. Dong Hongfu was elected to the board with 99.74% of votes cast in favour (5.66 billion shares). – He immediately joins the Risk Management Committee and the Audit Committee for the remainder of the third board session.

2) Resignation – Mr. Yan Xiaolei resigned as Non-Executive Director and from the same two committees, effective upon Mr. Dong’s appointment.

• Financing Capacity Shareholders granted a general mandate authorising the issuance of onshore and offshore debt-financing instruments. The proposal received 99.70% approval (5.66 billion shares).

All voting procedures complied with PRC regulations, the company’s Articles of Association, and Hong Kong Listing Rules, as verified by Beijing Tian Yuan Law Firm and the appointed scrutineers.
