Xuan Wu Cloud Technology Holdings Limited disclosed that Ms. Ge Ping will step down from two key positions—Chief Financial Officer and Joint Company Secretary—effective 31 May 2026 to devote more time to personal affairs.

The company confirmed that Ms. Ge has no disagreement with the Board, and no additional matters need to be brought to shareholders’ attention. Upon her departure, Ms. Lam Chi Ching Cecilia, currently the other Joint Company Secretary, will assume the role of sole Company Secretary. Ms. Lam meets the qualification requirements under Rules 3.28 and 8.17 of the Hong Kong Listing Rules.

The Board, chaired by Executive Director Mr. Lian Jian, expressed its appreciation for Ms. Ge’s contributions and extended best wishes for her future endeavors. As of the announcement date (29 May 2026), the Board consists of four executive directors—Mr. Lian Jian, Mr. Li Hairong, Mr. Huang Fangjie, and Dr. Chen Zhengxu—and three independent non-executive directors—Mr. Wang Guisheng, Dr. Xiao Jingyi, and Mr. Cao Jianrong.
