Future Bright Schedules 15 June 2026 AGM, Seeks Shareholder Mandates on 20% Share Issuance, 10% Buy-back and Bye-laws Update

Future Bright Holdings Limited will hold its annual general meeting (AGM) on 15 June 2026 at 11:00 a.m. on the 20th floor of Lee Garden One, 33 Hysan Avenue, Causeway Bay, Hong Kong. Shareholders have until 11:00 a.m. on 13 June 2026 to lodge proxy forms with Tricor Investor Services Limited.

Key agenda items:

1. Financials • Receive and consider the audited financial statements and the directors’ and auditors’ reports for the financial year ended 31 December 2025.

2. Board Composition and Remuneration • Re-elect independent non-executive directors Mr. Chek Kuong Fong and Mr. Vong Hou Piu. • Authorise the board to determine directors’ remuneration.

3. Auditor Appointment • Re-appoint BDO Limited as external auditor and empower the board to set its remuneration.

4. Capital Management • General mandate permitting the board to issue new shares representing up to 20% of the company’s issued share capital as at the AGM date. • Repurchase mandate authorising on-market buy-backs of up to 10% of issued shares. • Extension of the issuance mandate by adding back shares repurchased under the buy-back authority.

5. Governance • Special resolution to approve and adopt a set of New Bye-Laws.

Shareholders who cannot attend may appoint a proxy; if no proxy is named, the meeting’s chairman will act by default. The proxy need not be a shareholder but must attend in person to vote. Completion of the proxy form does not preclude personal attendance, which automatically revokes the proxy’s authority.
