Zhuzhou CRRC Times Electric Co., Ltd. (“Times Electric”) has released the candidate list for the eighth session of its board, to be put to shareholders at the 2025 annual general meeting (AGM). The seventh-term directors will continue to serve until the AGM votes on the new three-year mandate.
Key nominations
1. Executive directors (3): • Li Donglin – current chairman and Party secretary of CRRC Zhuzhou Institute (CRRC ZELRI) and incumbent chairman of Times Electric. • Shang Jing – vice-chairman of the board; previously general manager of Times Electric (2020–May 2024) and now deputy secretary to the Party Committee of CRRC ZELRI. • Xu Shaolong – Party secretary and general manager of Times Electric since December 2025; also vice-chairman of Zhuzhou Guochuang Railway Technology and chairman of two Times Electric subsidiaries.
2. Independent non-executive directors (4): • Li Kaiguo – senior automotive engineer; former chairman of China Automotive Engineering Research Institute; already a Times Electric INED since October 2022. • Zhong Ninghua – finance professor at Tongji University; INED since June 2023. • Lam Siu Fung – Hong Kong CPA with 25+ years of audit experience; INED since June 2023. • Feng Xiaoyun – professor at Southwest Jiaotong University; INED since June 2024.
Mandate and remuneration
• Tenure: Three years from approval at the 2025 AGM, with retirement by rotation and eligibility for re-election under the company’s Articles of Association. • Fees: Executive directors will forgo directors’ fees. Independent directors will receive an annual fee of RMB0.10 million each, except Lam Siu Fung, who will receive RMB0.24 million, all figures before tax. • Board committees: Specific committee assignments will be confirmed by the new board after election.
Independence and compliance
The board has reviewed written confirmations under Rule 3.13 of the Hong Kong Listing Rules and affirms the independence of all INED nominees. No nominee holds disclosable interests in Times Electric shares, has conflicting relationships with major shareholders or management, or requires additional disclosures under Listing Rule 13.51(2)(h)–(v).
