Shanghai Xizhi Technology Co., Ltd. (Xizhi Technology) announced that, in accordance with Note 4 to Rule 13.46(2) of The Stock Exchange of Hong Kong Limited Listing Rules, it is exempt from publishing and distributing a standalone annual report for the financial year ended 31 December 2025.

The waiver is based on three conditions already satisfied by Xizhi Technology: 1. All financial information required under Appendix D2 of the Listing Rules for FY 2025 has been fully disclosed in the company’s prospectus dated 20 April 2026. 2. Omitting a separate annual report does not contravene the company’s Articles of Association or any applicable PRC laws and regulations. 3. The prospectus contains a compliance statement confirming adherence to Part 2 of the Corporate Governance Code, except for a disclosed deviation from Code Provision C.2.1.

Shareholders and investors can access the FY 2025 financial results through the prospectus available on the HKEx website (www.hkexnews.hk) and the company’s site (www.xztech.ai).

The announcement was authorised by the Board, chaired by Dr. Shen Yichen, on 30 April 2026. The current Board comprises four executive directors, two non-executive directors and three independent non-executive directors, as listed in the filing.
