TOP FORM INT'L (00333) announced that Mr. Leung Ying Wah will retire as independent non-executive director at the conclusion of the company's Annual General Meeting to be held on December 30, 2025, due to reaching retirement age and his desire to spend more time with his family. He will not seek re-election. Following his retirement, Mr. Leung will no longer serve as Chairman of the Audit Committee or as a member of the Remuneration Committee and Nomination Committee.

After considering the recommendation from the Nomination Committee, the Board proposes to appoint Mr. Frederic Robert Francis Lemoine as independent non-executive director at the Annual General Meeting to fill the vacancy left by Mr. Leung's retirement. The proposed appointment of Mr. Lemoine is subject to shareholders' approval by ordinary resolution at the Annual General Meeting. If approved, the appointment will take effect at the conclusion of the Annual General Meeting.

Upon shareholders' approval of Mr. Lemoine's appointment at the Annual General Meeting, Mr. Lemoine will serve as a member of the Audit Committee, Remuneration Committee, and Nomination Committee respectively.
