Zhengwei Group Rights Issue Records 36.13% Take-Up; Majority of Shares to Enter Compensatory Placing

Zhengwei Group Holdings Company Limited reported the preliminary outcome of its Rights Issue launched on 18 September 2026. The offer, priced at HK$0.40 per share on a 6-for-1 basis, involved 403.20 million new shares (“Offered Shares”).

As of the 5 October 2026 closing for acceptances, shareholders submitted nine valid applications covering 145.66 million Rights Shares, equal to 36.13% of the total on offer. Consequently, 257.54 million shares, or 63.87% of the Offered Shares, remain unsubscribed.

In line with Listing Rule 7.21(1)(b), these 257.54 million Unsubscribed Rights Shares will be placed with independent investors under compensatory arrangements. A placing agreement, signed on 3 August 2026 with the appointed placing agent, stipulates a best-effort placement to be completed by 6:00 p.m. on 28 October 2026. Any premium achieved above the HK$0.40 subscription price will be distributed to shareholders who did not take up their entitlements (“No Action Shareholders”) on a pro-rata basis, subject to a HK$100 minimum payout threshold. Amounts below HK$100 will be retained by the company.

There were no non-qualifying shareholders, and therefore no NQS Unsold Rights Shares arose.

The Rights Issue remains conditional upon the Stock Exchange granting listing and dealing approval for both nil-paid and fully paid Rights Shares. Trading in Zhengwei Group shares continues to carry the risk that the offering may not become unconditional or may be modified if placing targets are not met.
