Minerva Group Holding Limited has finalised its non-underwritten rights issue, raising gross proceeds of HK$43.30 million and expanding its share capital from 2.28 billion to 3.42 billion shares.
The transaction offered shareholders one new share for every two held, at HK$0.038 per share. By the 22 June 2026 acceptance deadline, 150.03 million rights shares (13.10% of the 1.14 billion shares on offer) had been taken up. The remaining 990.91 million shares (86.90%) were subsequently placed with 13 independent investors at the same HK$0.038 price, completing the compensatory arrangement and leaving no net gain for non-participating shareholders.
After deducting related expenses, net proceeds totalled approximately HK$41.50 million. Management intends to apply the funds as follows: • 60% (HK$24.90 million) to expand the financial services business, primarily margin financing; • 10% (HK$4.15 million) to upgrade trading systems, infrastructure and support the potential expansion into U.S. equities and tokenised securities activities; • 20% (HK$8.30 million) to bolster the money-lending and asset-investment segments, including legal, professional and ongoing management costs; • 10% (HK$4.15 million) for office, administrative, professional, compliance and investor-relations expenses, and broader strategic initiatives.
Shareholding dilution followed completion of the rights issue and placement: • Value Convergence Holdings Limited: from 5.46% to 3.64% of issued shares; • China Investment and Finance Group Limited: from 5.26% to 3.51%; • New placees: 28.95%; • Other public shareholders: 63.90%.
Share certificates for the fully-paid rights shares are scheduled for dispatch on 30 July 2026, with trading expected to commence on 31 July 2026.
