Hao Tian International Construction Investment Group Limited (Stock Code: 1341) has completed the subscription of shares in PCL as set out in a Subscription Agreement first announced on 17 September 2025. The transaction formally concluded on 22 October 2025, fulfilling all necessary conditions. PCL allotted and issued new shares to Hao Tian International Construction Investment Group Limited, granting the company around a 29.82% shareholding in PCL’s enlarged capital base.

According to a valuation report by an independent professional valuer, PCL’s market value was approximately HK$957.5 million as of 31 July 2025 under a market-based approach using a price-to-book multiple of 0.78x. The final calculation factored in a 9.25% discount for lack of marketability and included a 39.00% control premium. Upon completion, Hao Tian International Construction Investment Group Limited gained the right to nominate at least three directors to PCL’s board, representing half of PCL’s board composition.

As part of the consideration, Hao Tian International Construction Investment Group Limited issued 1,600,000,000 new shares at HK$0.25 each, representing about 14.75% of its enlarged share capital. Following the transaction, total issued shares of the company increased from 9,246,152,835 to 10,846,152,835. Management highlighted potential business synergies, citing collaborative opportunities in corporate finance services, capital market activities, cost reductions from shared resources, and joint marketing efforts.
