HealthyWay Inc. announced a change in board composition effective 10 June 2026. Non-executive director Mr. Zhang Xiangming has resigned to focus on personal endeavours and will simultaneously step down from the audit, remuneration and nomination committees.

Mr. Wang Junfeng, aged 39, will assume the vacated non-executive director role and join the same three committees on the same date. Wang has more than 10 years of experience in artificial intelligence and healthcare technology and currently leads Baidu’s health-technology businesses. He holds a master’s degree in Computer Science and Technology from Zhejiang University.

The company has signed a three-year letter of appointment with Wang. He will not receive director emoluments and will be subject to retirement by rotation and re-election in accordance with HealthyWay’s Articles of Association.

Baidu, Inc. is a substantial shareholder of HealthyWay, holding approximately 10.96 % of issued shares through Baidu (Hong Kong) Limited. Aside from this shareholding connection, Wang has no other relationships with HealthyWay’s directors, senior management or controlling shareholders, nor does he hold interests in the company’s shares under Hong Kong’s Securities and Futures Ordinance.

Following the changes, HealthyWay’s board consists of two executive directors (Zhang Wanneng and Chen Jing), one non-executive director (Wang Junfeng) and three independent non-executive directors (Xu Jing, Dr. Lu Tao and Deng Xiaolan).
