XXF completes HK$151 million placing and top-up subscription, issues 154.69 million new shares at HK$0.98

XXF Group Holdings Limited announced the completion of its share placement and subsequent top-up subscription, raising approximately HK$151 million in net proceeds.

On 14 April 2026, the placing agent Quam Securities placed 154.69 million existing shares at HK$0.98 per share to at least six independent investors on a best-efforts basis. All placees remain below the substantial-shareholder threshold. Following satisfaction of all conditions, the company re-issued an identical 154.69 million new shares to the seller, Glorypearl Capital Resources Company Limited, on 21 April 2026 at the same price.

Net proceeds of about HK$151 million will be used as follows: • Acquisition of motor vehicles for core business operations. • General working capital of approximately HK$75.00 million, broken down into HK$25.00 million for staff costs, HK$35.00 million for operating, sales and marketing expenses, and HK$15.00 million for taxes and statutory payments. Unutilised funds will be held in short-term interest-bearing deposits and are expected to be fully deployed within 12 months.

Shareholding impact: • Total issued shares increased from 1.55 billion to 1.70 billion. • Public float rose from 81.56% to 83.24%. • Interests controlled by Chairman and CEO Mr. Huang Wei returned to 16.59% after the top-up subscription, compared with 18.25% before the transaction and 8.25% immediately after the placing but before the top-up subscription.

The transaction was executed under the company’s existing general mandate and did not create any new substantial shareholders.
