Laguna Resorts & Hotels warns of potential delisting over free float shortfall

Laguna Resorts & Hotels Public Company Limited announced on May, 13 2026 that its shares remain suspended from trading on the Stock Exchange of Thailand (SET) because it has yet to meet the bourse’s minimum free float requirement.

The company reported a free float of 12.16% as of Mar, 7 2025, below the SET’s 15% threshold and the requirement for at least 150 minority shareholders. As a result, the SET imposed a trading suspension (SP sign) on Jun, 5 2025.

Laguna said it hired financial and legal advisers to explore options and presented the proposals to its audit committee, board and major shareholders. However, the major shareholders declined the suggested measures, citing concerns over dilution and loss of control.

Because the shortfall remains unresolved, the SET will add a Non-Compliance (NC) sign on Jun, 5 2026 and may subsequently proceed with delisting. Should a delisting be ordered, the exchange will allow a seven-day trading window before the effective date to give shareholders an exit opportunity.

The company urged investors to consider the regulatory risks stemming from the continuing free float non-compliance.
