China Hanking Holdings Limited (03788) announced that all conditions precedent under the subscription agreement have been fulfilled, and the subscription was completed on January 29, 2026, in accordance with the terms of the agreement. A total of 43.96 million subscription shares were successfully allotted and issued to the subscribers at a subscription price of HK$3.80 per share, under the terms and conditions of the subscription agreement. Among these, 10.26 million subscription shares were allotted and issued to Zijin Global Fund (Subscriber 1); 7.9 million subscription shares were allotted and issued to Luyin (Subscriber 2); 5.3 million subscription shares were allotted and issued to Oriental Gold (Subscriber 3); and 20.5 million subscription shares were allotted and issued to Manna Lake (Subscriber 4). After making all reasonable inquiries, to the best of the directors' knowledge, information, and belief, the subscribers and their respective ultimate beneficial owners are all independent third parties.

All conditions under the placement agreement have been satisfied, and the placement was completed on January 29, 2026, according to the terms of the placement agreement. A total of 162 million placement shares were successfully placed by the placing agent with no fewer than six placees at a placing price of HK$3.80 per share, under the terms and conditions of the placement agreement. After making all reasonable inquiries, to the best of the directors' knowledge, information, and belief, the placees and their respective ultimate beneficial owners are all independent third parties. None of the placees or their ultimate beneficial owners became a substantial shareholder of the company as a result of the placement.
