UMS Integration shareholders back all AGM resolutions, 2.0-cent dividend set for May

UMS Integration Limited told shareholders that all 11 resolutions tabled at its Apr, 30 2026 annual general meeting were passed by poll.

Key ordinary business included the adoption of the FY2025 financial statements and the approval of a final tax-exempt dividend of 2.0 cents per share, payable on May, 22 2026.

Shareholders re-elected Datuk Phang Ah Tong, Mr Loh Meng Chong Stanley, Datin Poon Lee Fah and Ms Xie Xingbei Pearlyn to the board, and approved auditors Moore Stephens LLP’s re-appointment.

They also sanctioned S$14,685 in additional directors’ fees for FY2025 and a directors’ fee cap of S$270,000 for FY2026, both to be paid quarterly in arrears.

Under special business, investors renewed the mandate allowing the company to issue new shares—up to 50% of issued capital, with a 20% sub-limit for non-pro-rata issues—and refreshed the 10% share buy-back mandate.

Management told the meeting it may consider a Malaysian share placement to fund expansion and improve liquidity, while maintaining dividend payouts. All resolutions received at least 63.9% support, with the share-issue mandate drawing the lowest approval.
