On 13 November 2025, Tian An Medicare Limited (Stock Code: 383) confirmed that its indirect wholly owned subsidiary, Kunming Tongren Hospital Co., Ltd., entered into a renovation work agreement with Zhejiang Shunjie Construction Group Co., Ltd. The agreement covers the thyroid centre, the integrated in-patient building, and the rehabilitation medical building for Phase II of Kunming Tongren Hospital. The total construction area is approximately 48,357 square meters, and the expected renovation completion date is 30 July 2026.

The consideration is RMB129,834,285.77 (equivalent to approximately HK$142,025,725.20), subject to adjustments for raw material and labor cost fluctuations. A 10% performance guarantee is in place, with phased payment installments over the renovation period. A final 3% is retained during the defects liability period, which can range from around two to five years. The choice of contractor follows the main contractor’s previous civil construction assignment for the same project, and the parties confirm that the agreement is on normal commercial terms. This transaction constitutes a discloseable transaction under Chapter 14 of the Listing Rules, as one of the applicable percentage ratios exceeds 5% but remains below 25%.
